On April 17, 2026, Tien Thinh Group Joint Stock Company held its 2026 Annual General Meeting of Shareholders (AGM) at the TTC Hotel – Can Tho Branch, with the attendance of shareholders representing the requisite voting share ratio, alongside the full presence of the Board of Directors, the Audit Committee, the Executive Board, and invited guests.

The AGM was conducted in a professional, transparent, and democratic atmosphere, strictly complying with the provisions of the Law on Enterprises and the Company Charter. The organization was meticulously prepared, ensuring shareholders rights to attend, discuss, and vote. Within the framework of the program, key matters regarding the 2025 business performance, strategic orientations, corporate governance, and the 2026 development plan were presented in detail, openly discussed, and approved with a high level of consensus from the attending shareholders.

At the meeting, the Management reported on the overall business results for 2025 amidst a volatile market context. Although the revenue target was not met due to objective factors and revenue adjustments related to sales returns, the Company still recorded positive profit growth. This was achieved through in-depth operational restructuring, focusing on high value-added processed products, while effectively controlling costs and enhancing operational productivity.

Based on this foundation, the AGM approved the 2026 business plan aimed at sustainable growth, focusing on improving operational efficiency, expanding export markets, diversifying the product portfolio, and continuously upgrading the corporate governance system towards modernity and transparency.

Regarding profit distribution, the AGM approved a stock dividend payment plan at a rate of 7%, funded by undistributed after-tax profit, aiming to simultaneously secure shareholders interests and strengthen the financial capacity for development plans in the upcoming phases.

Simultaneously, the AGM agreed on the plan to offer additional shares to existing shareholders at a ratio of 40%, aiming to mobilize over 97 billion VND. This will provide supplementary capital to implement the Central Highlands Export Agricultural Product Processing Center project in Gia Lai, invested by the subsidiary – Tien Thinh Gia Lai JSC, with an estimated total investment of 500 billion VND. The project is oriented to become a large-scale agricultural processing hub in the Central Highlands, integrating deep processing, preservation, raw material area development, and support services for the agricultural value chain. The implementation of this project not only expands production capacity and secures proactive raw material supplies but also lays a crucial foundation for the Company to enhance its competitive advantage and expand long-term growth opportunities.

Furthermore, the AGM dedicated time for shareholders to exchange and contribute opinions on the Companys development orientations. The discussions centered on strategies to expand export markets, improve product quality, develop sustainable raw material areas, and increase the application of technology in management and production. The Presidium acknowledged, absorbed, and thoroughly addressed all shareholders inquiries, demonstrating a receptive spirit and transparency in corporate governance.

On behalf of the Board of Directors, the Chairperson committed to concretizing the approved resolutions into detailed action programs and implementation plans, while directing the Executive Board to execute them decisively, synchronously, and effectively to ensure the fulfillment of the set targets. The Company will also continue to strengthen corporate governance, risk management, and transparent information disclosure, meeting the requirements of a public company in its new development phase.

After a period of serious, responsible, and effective work, the 2026 Annual General Meeting of Shareholders of Tien Thinh Group Joint Stock Company concluded successfully. The AGM highlighted the high consensus among shareholders regarding the Companys development strategy and management orientation, reflecting their firm belief in the governance capacity and long-term vision of the Leadership. This will serve as a vital foundation for Tien Thinh to maintain stable growth, elevate its market position, and steadily affirm its brand in the agricultural processing and export sector in the coming years.
